The evaluation framework
EBITDA scale
Is normalized EBITDA large enough to support debt service and generate an adequate return at a reasonable multiple?
EBITDA trend
Growing, stable, or declining over the trailing three years — and how much of the trend is owner-dependent?
Add-back quality
Are the add-backs independently verifiable, or are they seller-proposed? Unverified adjustments are flagged with a VERIFY tag.
Revenue concentration
How exposed is the business to losing one or two customers — and does the seller relationship own those accounts?
Data confidence
CIM-only deals get conservative assumptions. Tax returns and QuickBooks exports unlock higher confidence scoring.
